Terms of Service — Final Bid Pro

1. Agreement to Terms

By accessing or using Final Bid Pro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Final Bid Pro is a software-as-a-service (SaaS) platform that allows janitorial and commercial cleaning professionals to create, manage, and deliver professional cleaning service proposals. The Service includes proposal creation tools, pricing calculators, legal contract templates, client management, and PDF generation.

3. Account Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Final Bid Pro reserves the right to terminate accounts that violate these Terms.

4. Subscription and Billing

Final Bid Pro offers a 7-day free trial period. After the trial, continued use of the Service requires a paid subscription at the rates in effect at the time of purchase. Current pricing is $9.99 per month (billed monthly) or $99.99 per year (billed annually). Prices are subject to change with 30 days' notice. All fees are non-refundable except as required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Service in any way that violates applicable federal, state, local, or international law; (b) reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission; (c) attempt to gain unauthorized access to any portion of the Service; (d) upload or transmit viruses or any other malicious code; (e) use the Service to infringe upon the intellectual property rights of others.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Final Bid Pro and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Final Bid Pro. The legal contract templates and proposal text provided in the Service are for reference only and do not constitute legal advice.

7. User Content

You retain ownership of all content you upload or create using the Service, including company information, client data, proposal content, and logos ("User Content"). By using the Service, you grant Final Bid Pro a limited license to host, store, and display your User Content solely to provide the Service to you. You are solely responsible for the accuracy and legality of your User Content.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FINAL BID PRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINAL BID PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page and, where appropriate, by email. Your continued use of the Service after any modifications constitutes your acceptance of the new Terms.
